Welcome to MyMeditations. These Terms of Service ("Terms") govern your access to and use of the MyMeditations website, app, platform, content, tools, features, and services (collectively, the "Service"). MyMeditations is a service owned and operated by Ingage Digital Media ("Ingage Digital Media," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Service unless we expressly permit supervised use by minors through a parent, guardian, school, or other authorized entity.

By using the Service, you represent and warrant that:

• you are legally able to enter into these Terms;
• all registration information you submit is true, current, and accurate;
• you will maintain the accuracy of that information; and
• your use of the Service does not violate any applicable law or regulation.

2. The Service

MyMeditations is a platform that allows users to create, store, organize, stream, and share custom meditation audio content. Depending on the features available at the time, users may be able to:

• record their own voice;
• upload audio files they own or have the right to use;
• combine voice recordings with music, soundscapes, and other content made available through the Service;
• create personalized meditation audio tracks;
• listen to and stream those tracks; and
• share selected tracks with other registered users within the Service.

Features and functionality may vary and may change over time.

3. Beta and Pre-Release Service

MyMeditations may make some or all portions of the Service available on a beta, pilot, test, early-access, preview, or pre-release basis ("Beta Service").

If you participate in a Beta Service, you acknowledge and agree that:

• the Beta Service is under development and may contain errors, bugs, interruptions, incomplete features, or other problems;
• features may be added, changed, restricted, suspended, reset, or removed at any time;
• performance, availability, compatibility, and reliability are not guaranteed;
• meditation tracks, recordings, settings, account information, or other data created or stored during the beta period may be lost, corrupted, reset, or become unavailable;
• you should maintain copies of any User Content that is important to you and should not rely on the Beta Service as your sole method of storage;
• the Beta Service should not be relied upon for emergency, medical, mental health, safety-critical, or other critical purposes;
• we may establish limits on usage, storage, creation capacity, streaming, sharing, or other features during the beta period; and
• we may discontinue or conclude a Beta Service at any time.

Participation in a Beta Service may be provided without charge. Free beta participation does not create any right to continued free access, any particular future subscription price, or continued availability of any feature.

We may request comments, reports, suggestions, or other feedback from beta participants regarding their experience with the Service. Any such feedback is subject to Section 16 of these Terms.

These Terms apply fully to Beta Services even when no payment is required.

4. Account Registration and Security

To use certain features, you must create an account. You agree to:

• provide complete and accurate account information;
• keep your login credentials confidential;
• not share your account with others;
• notify us promptly of any unauthorized use of your account or security breach; and
• accept responsibility for activity that occurs under your account.

We are not liable for losses caused by unauthorized use of your account resulting from your failure to safeguard your credentials.

5. User Content

"User Content" means any content you submit, upload, record, create, store, transmit, post, or otherwise make available through the Service, including without limitation:

• voice recordings;
• uploaded audio files;
• meditation scripts;
• names, titles, descriptions, and metadata;
• shared meditation tracks; and
• any other audio, text, or content you provide.

You retain ownership of your User Content, subject to the rights you grant to us in these Terms.

6. Your Rights and License to Us

By submitting or creating User Content through the Service, you grant MyMeditations and Ingage Digital Media a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, modify, transcode, format, distribute, display, perform, and otherwise use your User Content solely as reasonably necessary to:

• operate, provide, maintain, and improve the Service;
• create and deliver your meditation tracks;
• enable playback, streaming, storage, and sharing functionality;
• provide customer support;
• protect the safety, integrity, and security of the Service;
• troubleshoot and correct technical problems; and
• enforce these Terms and comply with legal obligations.

This license continues for as long as your User Content is stored on or made available through the Service and for a commercially reasonable period thereafter where necessary for backup, archival, legal compliance, security, or enforcement purposes.

7. Your Responsibility for Content

You are solely responsible for your User Content and for the consequences of creating, uploading, recording, sharing, or distributing it through the Service.

You represent and warrant that:

• you own or have all necessary rights, licenses, permissions, and consents to use and submit your User Content;
• your User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights;
• any voice, audio, music, spoken word, or other material you upload is lawfully yours to use;
• your User Content complies with these Terms and applicable laws; and
• you will not use the Service to create or distribute unlawful, abusive, deceptive, or harmful content.

8. Platform Content and Limited License

The Service may include music, soundscapes, templates, audio elements, designs, text, graphics, logos, software, and other content provided by MyMeditations, Ingage Digital Media, or their licensors ("Platform Content").

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Platform Content solely within the Service and solely for your personal or otherwise authorized use in creating and listening to meditations through the Service.

Unless we expressly state otherwise in writing, you may not:

• download, extract, resell, redistribute, sublicense, or separately exploit Platform Content outside the Service;
• claim ownership of Platform Content;
• use Platform Content apart from the functionality offered through the Service; or
• use Platform Content in any way that violates these Terms or applicable law.

9. Sharing with Other Users

The Service may allow you to share meditations or other User Content with other registered users.

By choosing to share content through the Service, you acknowledge and agree that:

• the content may be accessed, played, or used by the intended recipients within the Service;
• once shared, you may have limited control over how recipients access or use the content, subject to platform restrictions;
• you are solely responsible for what you choose to share; and
• we do not guarantee confidentiality of content you voluntarily share with other users.

You may share only content you have the legal right to share.

10. Prohibited Conduct

You agree not to use the Service to:

• violate any law, regulation, or court order;
• infringe intellectual property, privacy, publicity, or other legal rights;
• upload, record, create, or share content that is defamatory, libelous, threatening, harassing, abusive, hateful, obscene, pornographic, or otherwise objectionable;
• impersonate any person or entity or falsely suggest affiliation, endorsement, or sponsorship;
• create or distribute content intended to disparage, defame, humiliate, harass, or harm another person or organization;
• upload or distribute fraudulent, misleading, deceptive, or unlawful content;
• promote violence, illegal activity, or self-harm;
• upload malware, viruses, malicious code, or harmful technology;
• interfere with or disrupt the Service or its servers;
• attempt to gain unauthorized access to accounts, systems, networks, or data;
• scrape, crawl, reverse engineer, decompile, or attempt to extract source code from the Service except where applicable law prohibits us from restricting such activity;
• use automated systems to access the Service in an abusive or unauthorized manner;
• transmit spam, unsolicited promotions, or mass messaging;
• use the Service for unauthorized commercial exploitation;
• upload content you do not own or have permission to use;
• use another person's voice, likeness, identity, or recordings without valid consent; or
• use the Service in any way that could expose MyMeditations or Ingage Digital Media to legal liability, reputational harm, operational harm, or security risk.

We reserve the right to determine whether conduct or content violates these Terms.

11. No Harmful or Sensitive Uses

MyMeditations is intended for personal wellness, reflection, mindfulness, and related lawful purposes.

You may not use the Service to create or distribute content intended to:

• harass, intimidate, shame, stalk, or abuse others;
• target protected groups with hateful or discriminatory content;
• manipulate, exploit, or deceive vulnerable individuals;
• facilitate illegal acts;
• provide medical, psychiatric, legal, or other professional advice without appropriate qualifications and legal authorization; or
• falsely present generated, edited, or shared content as endorsed by another person or organization.

12. Health and Wellness Disclaimer

The Service is offered for general wellness, relaxation, mindfulness, reflection, and personal-use purposes only.

MyMeditations is not a medical device and does not provide medical, mental health, psychiatric, therapeutic, legal, or other professional advice, diagnosis, or treatment.

Content created by users or made available through the Service should not be used as a substitute for advice, diagnosis, or treatment from a qualified professional.

You should consult an appropriate qualified professional regarding medical or mental health concerns. Never disregard professional advice or delay seeking it because of content made available through the Service.

If you believe you are experiencing a medical or mental health emergency, seek appropriate emergency assistance immediately.

13. Monitoring and Enforcement

We are not obligated to monitor User Content, but we may do so.

We reserve the right, at any time and as permitted by law, to:

• review, screen, monitor, flag, remove, disable access to, or refuse User Content;
• investigate suspected violations of these Terms;
• suspend or terminate accounts;
• restrict sharing or access; and
• preserve or disclose information where reasonably necessary to protect the Service, users, third parties, enforce these Terms, or comply with applicable law.

14. Content Removal and Takedown

If you believe content on the Service violates your rights or these Terms, you may contact us at:

• support@mymeditations.app or
• info@ingagedigitalmedia.com

Please include sufficient information for us to investigate, including where appropriate:

• your name and contact information;
• identification of the content at issue;
• the basis for your complaint;
• supporting documentation; and
• a statement that the information you provide is accurate.

We may remove or disable access to content while investigating a complaint.

If you believe content infringes your copyright, you may submit a copyright complaint consistent with applicable law.

15. Intellectual Property

The Service, including its software, design, branding, trade names, logos, features, structure, and Platform Content, is owned by MyMeditations, Ingage Digital Media, and/or their licensors and is protected by intellectual property and other laws.

Except for limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise.

You may not use our names, logos, trademarks, or branding without prior written permission.

16. Feedback

If you provide suggestions, ideas, comments, test results, bug reports, feedback, or recommendations regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable right to use, modify, implement, incorporate, and exploit that Feedback for any lawful purpose without compensation or attribution to you.

17. Subscriptions, Fees, Billing, and Automatic Renewal

Some or all Beta Services may be offered without charge. Other versions, plans, features, or services may now or in the future require payment, a subscription, or usage-based fees.

Where charges apply:

• you agree to pay the fees disclosed to you before purchase;
• you authorize us and our payment processors to charge your selected payment method;
• applicable recurring charges, billing frequency, renewal terms, and cancellation terms will be disclosed before purchase;
• subscriptions may renew automatically when expressly disclosed and agreed to;
• fees are non-refundable except where required by law or expressly stated otherwise; and
• we may change pricing or subscription terms upon appropriate notice as permitted by law.

If a subscription includes automatic renewal or continuous service:

• the automatic-renewal or continuous-service terms will be presented before you complete the purchase;
• we will obtain affirmative consent where required by applicable law;
• we will provide an acknowledgment of the applicable subscription terms and cancellation information in a form you can retain;
• required renewal, trial-end, promotional-price, fee-change, or similar notices will be provided when applicable; and
• cancellation methods required by applicable law will be made available.

If you enroll in a subscription online, an online method of cancellation will be available as required by applicable law.

Cancellation will take effect as disclosed when you subscribe and subject to applicable law.

Additional billing, renewal, and cancellation terms presented during checkout or within your account are incorporated into these Terms.

18. Privacy

Our Privacy Policy explains how we collect, use, retain, disclose, and otherwise handle personal information and describes privacy choices and rights that may be available to you.

The Privacy Policy is provided separately from these Terms and should be reviewed before creating an account or using the Service.

By creating an account, you acknowledge that you have had an opportunity to review the Privacy Policy.

Where applicable law requires separate consent for a particular collection, use, or disclosure of information, we will request that consent separately.

19. Third-Party Services

The Service may integrate with or rely upon third-party hosting providers, payment processors, software providers, audio providers, analytics services, communications services, or other third-party services.

We do not control and are not responsible for third-party services, content, availability, or practices.

Your use of third-party products or services may be subject to separate terms and privacy policies provided by those third parties.

20. Availability and Service Changes

We do not guarantee that the Service will always be available, secure, uninterrupted, error-free, or loss-free.

Features, functionality, technical requirements, storage limits, creation limits, streaming limits, and other aspects of the Service may change over time.

We may update, modify, restrict, suspend, or discontinue any portion of the Service as permitted by law.

You understand that digital services may experience downtime, bugs, delays, failures, data loss, and technical limitations.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

MYMEDITATIONS AND INGAGE DIGITAL MEDIA DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS;
• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• USER CONTENT WILL NOT BE LOST, DAMAGED, CORRUPTED, OR ACCESSED WITHOUT AUTHORIZATION;
• BETA OR OTHER FEATURES WILL CONTINUE TO BE AVAILABLE; OR
• RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYMEDITATIONS, INGAGE DIGITAL MEDIA, AND THEIR AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CONTENT, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO:

• YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE;
• PARTICIPATION IN A BETA SERVICE;
• USER CONTENT OR THIRD-PARTY CONTENT;
• LOSS, CORRUPTION, OR DELETION OF USER CONTENT;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF CONTENT OR DATA;
• SERVICE INTERRUPTIONS, DELAYS, ERRORS, OR FAILURES; OR
• ANY OTHER MATTER RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

23. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MyMeditations, Ingage Digital Media, and their affiliates, owners, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• your use or misuse of the Service;
• your User Content;
• your violation of these Terms;
• your violation of applicable law or a third party's rights; or
• a dispute between you and another user or third party arising from your conduct or content.

24. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Service as permitted by law if we reasonably believe:

• you have violated these Terms;
• your use poses a legal, security, reputational, technical, or operational risk;
• suspension or termination is required by law; or
• action is reasonably necessary to protect the Service, users, or third parties.

During a beta period, we may also terminate or suspend beta access as part of testing, maintenance, restructuring, or discontinuation of the Beta Service.

You may stop using the Service at any time.

Termination does not relieve either party of obligations incurred before termination.

Provisions that by their nature should survive termination will survive, including provisions relating to ownership, licenses, Feedback, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

25. Repeat Infringers and Abuse

We reserve the right to terminate accounts of users who repeatedly infringe intellectual property rights or repeatedly violate these Terms.

We may also restrict, suspend, or terminate access for users who abuse platform tools, harass others, misuse sharing features, attempt to circumvent technical protections, or create legal, safety, or security risks.

26. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

27. Dispute Resolution

Informal Resolution

Before filing a claim arising out of or relating to these Terms or the Service, you agree to first contact us at info@ingagedigitalmedia.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days, except where applicable law permits a claim to proceed without such a process.

Venue

Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms or the Service shall be brought in an appropriate state or federal court serving Nevada County, California, and each party consents to personal jurisdiction and venue in those courts.

28. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, COORDINATED, OR REPRESENTATIVE PROCEEDING.

Nothing in this section limits any right that cannot lawfully be waived.

29. Electronic Communications

By creating an account and using the Service, you consent to receive electronic communications from us relating to the Service or your account, including notices, disclosures, security communications, updates, receipts, subscription information, and transactional communications.

You agree that electronic communications may satisfy legal requirements that communications be provided in writing, to the extent permitted by applicable law.

Marketing or promotional communications will be handled separately where applicable and may be subject to separate consent and opt-out rights.

30. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Service, by email, or through another reasonable method.

Where required by applicable law, we will obtain consent to revised Terms rather than relying solely on continued use.

The effective date of the current Terms will appear at the top of this document.

31. General Provisions

These Terms constitute the agreement between you and MyMeditations regarding the Service and supersede prior or contemporaneous understandings concerning the subject matter covered by these Terms.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms or your rights under them without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

Headings are for convenience only and do not affect interpretation.

Nothing in these Terms waives any consumer right or remedy that cannot lawfully be waived.
